Welcome to TechAngels Association, with its registered office in Bucharest, District 2, 39-41 Nicolae Filipescu street, tax identification code 32132743. (“TechAngels”, “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of the TechAngels website located at techangels.ro and our related activities and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
- Acceptance of Terms
By registering as a member, creating an account, applying for funding, accessing, or using the Services, you confirm that you:
- Have read and understood these Terms
- Agree to be bound by these Terms and our Privacy Policy
- Are at least 18 years old and have the legal capacity to enter into binding agreements
- Are not prohibited from using the Services under applicable laws
If you do not agree to these Terms, you may not use the Services.
- Description of Service
TechAngels is an investment facilitation platform that connects startups with angel investors. Our activities include:
- Matchmaking between startups and potential investors
- Profile and pitch management tools
- Communication and networking features
- Investment tracking and documentation support
- Educational resources and market insights
Important Disclaimer: TechAngels is not a licensed investment advisor, broker-dealer, or financial institution. We do not provide investment advice, and all investment decisions are made solely by users. We facilitate connections but do not guarantee investment outcomes or the accuracy of information provided by users.
- User Accounts and Registration
To use certain features of the Services or to apply for memebrship, you must create an account or submit an application. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Promptly update your account information when it changes
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
You may not create accounts using automated means or create multiple accounts without our permission. We reserve the right to suspend or terminate accounts that violate these Terms.
- User Responsibilities and Conduct
When using our Services, you agree not to:
4.1 Prohibited Activities
- Provide false, misleading, or fraudulent information about yourself, your company, or investment opportunities
- Impersonate any person or entity or misrepresent your affiliation
- Use the Services for any illegal purposes or in violation of applicable laws
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Upload malware, viruses, or other harmful code
- Spam, harass, or engage in abusive behavior toward other users
- Scrape, harvest, or collect user data without permission
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or algorithms underlying the Services
4.2 Investment-Specific Obligations
- Comply with all applicable securities laws and regulations
- Verify your accredited investor status if required by law
- Conduct your own due diligence on investment opportunities
- Respect confidentiality agreements and non-disclosure obligations
- Report any suspected fraudulent or misleading investment solicitations
4.3 Export Control & Sanctions Compliance
By using the Services, you represent and warrant that you are not located in, established in, or a resident of any country subject to comprehensive U.S. or EU sanctions (Cuba, Iran, North Korea, Syria, designated regions of Russia). You are not listed on any restricted party list (SDN, Denied Persons, Entity List, EU Consolidated Sanctions). You will not use the Services for prohibited end-uses including weapons proliferation, military end-uses in violation of sanctions, or unlawful surveillance.
- Intellectual Property Rights
5.1 Our Rights
The Services, including all content, features, functionality, software, and design, are owned by TechAngels or its partners and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written permission.
5.2 User Content
You retain ownership of content you submit to the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating the Services and make it available to our members and partners.
5.3 DMCA Compliance & IP Reporting
We respond to clear notices of copyright infringement consistent with the Digital Millennium Copyright Act (DMCA). Reports must include: (1) description of copyrighted work claimed infringed, (2) location of infringing material, (3) statement under penalty of perjury that use is not authorized, (4) contact information and physical/electronic signature. - Payment Terms and Billing
6.1 Fees and Payment
Access to certain features (e.g. membership fees) may require payment of fees. All fees are stated in the applicable currency and are exclusive of taxes unless otherwise specified.
6.2 Billing and Refunds
All Fees are non-refundable unless agreed otherwise in writing. Members authorizes recurring payments made by agreed method at recurring intervals until subscription terminated. Overdue Fees carry termination of the membership
6.3 Taxes
Prices are exclusive of Transaction Tax – Customer is responsible for all applicable taxes unless valid exemption certificate is provided. We will add applicable VAT or other taxes to invoices where required by law.
6.4 Investment Facilitation Fees
Third Party Platform fees may apply to envisaged investment transactions. Fee structures will be clearly disclosed before any transaction by the lead investor in a specific opportunity. We are not responsible for investment performance, investment transaction fees or outcomes.
- Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS-IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” BASIS. We warrant that during your use of the Services, any provided technology for the purpose of the Services will substantially conform to documentation provided by the relevant service provider and services will be performed in a professional manner. Our sole liability for any breach is to re-perform services or refund applicable fees.
WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- WARRANTIES OF UPTIME, ACCURACY, OR COMPLETENESS
- MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- THAT INVESTMENTS WILL BE SUCCESSFUL OR PROFITABLE
- THAT USER INFORMATION OR EVALUATED COMPANIES AND STARTUPS INFORMATION IS ACCURATE OR COMPLETE
- THAT THE SERVICES WILL MEET YOUR REQUIREMENTS
- Limitation of Liability
NEITHER PARTY WILL BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, LOSS OF PROFITS, REPUTATION, USE, REVENUE, OR DATA.
Our maximum aggregate liability is capped to fees you paid in the 12 months before the claim arose. This limitation applies whether the claim arises from contract, tort, or any other legal theory, except for acts of fraud or willful misconduct.
This limitation is essential to our orgnisation’s model and the fees we charge. If you cannot accept these limitations, do not use the Services.
- Indemnification
You agree to defend, indemnify, and hold harmless TechAngels, our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your User Content or any investment activities conducted through the Services
- Any breach of your representations and warranties
- Termination
10.1 Termination by You
You may terminate your account at any time by contacting us at [contact@techangels.ro]. Termination does not relieve you of obligations incurred before termination.
10.2 Termination by Us
We may suspend or terminate your access immediately if you violate these Terms or for other reasons including:
- Suspected fraudulent or illegal activity
- Extended inactivity
- Technical or security reasons
- At our sole discretion with or without cause
10.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. We may delete your account and User Content, though some information may be retained as required by law or for legitimate business purposes.
- Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of Romania, without regard to conflict of law principles.
11.2 Dispute Resolution
Any disputes arising from these Terms or the Services will be resolved through Romanian competent courts of law located in Bucharest. Each party bears their own costs except where prohibited by law.
11.3 Exceptions
Either party may seek injunctive relief in courts of competent jurisdiction for intellectual property infringement or breach of confidentiality.
- Changes to Terms
We may update these Terms from time to time. We will provide notice of material changes by:
- Posting updated Terms on our website
- Sending email notification to registered users
Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you disagree with changes, you must stop using the Services.
- Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TechAngels regarding the Services.
13.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remainder will continue in full force and effect.
13.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
13.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
